Service Terms and Conditions
Our website policies are designed to protect all subscribers and require that all who use the site abide by the
User Agreement and any associated Agreements, Policies, or Requirements stipulated by our Portal Partners.
Please review the user agreement below and either accept or reject or reject the agreement to continue.
Site visitors who submit their information via any USHorse.biz Membership Application and/or Request Forms,
the person or entity name in the Membership Form agrees to the following Terms and Conditions.
These Terms and Conditions, together with the Membership Form comprise the entire agreement ("Agreement")
between the Company and USHorse.biz, Inc.
REFUNDS
USHorse.biz provides customers with a thirty (30) day, no questions asked, money back guarantee if they decide
to cancel their membership subscription, or any other product or service offered on the USHorse.biz website.
1. Request for Project Quotes
1.1 Membership: USHorse.biz authorizes the inclusion of vendors in its membership database, accessible to USHorse.biz
users through USHorse.biz, it's World Wide Web site ("the Web Site"), and other means, in accordance with
these Terms and Conditions. By submitting any USHorse.biz Membership Application and/or Request Forms,
the Company requests that USHorse.biz include information about the Company.
USHorse.biz reserves the right to refuse any such request or to cancel any Entry for failure to fulfill
the obligations set forth in these Terms and Conditions.
1.2 Entry Data: The Entry will consist of the information provided to USHorse.biz by the Company listed on this Membership Form.
The Company agrees to provide true, accurate, current, and complete information about the Company's business as requested
in the application process.
1.3 Request for Project Quotes/Estimates ("Job Leads"): After inclusion of the Entry in the membership database,
USHorse.biz will forward via email Job Leads in accordance with the criteria set forth in the attached Membership Form.
The Job Leads will contain but not be limited to the following: name, address, phone number(s), project details.
The Company agrees to respond to every Job Lead within three (3) business days.
The Company agrees not to distribute or re-sell Job Leads to any third party, without express written notice from USHorse.biz
2. Monthly Membership Fee
2.1 Job Leads: USHorse.biz will charge the Company a Monthly Membership Fee for a Listing in the USHorse.biz
"Find a Professional" Search Directory and will also charge Company for Job Leads and any other
"Additional Campaigns" upon execution of this agreement and every month thereafter following 90 days of the initial
launch date. By completing the information on the Membership Form, Company authorizes such Monthly Membership Fee to be charged
to Company's account as set forth in the attached Membership Form. In addition, Company hereby authorized USHorse.biz to
charge Company or Company's account for any and all amounts previously invoiced to Company by USHorse.biz and which remain
unpaid as of the effective date of this Membership Form. All statements will be sent directly via email
every thirty (30) days following the effective date of this Agreement.
2.2 Membership Fees - Subject to Change: The Monthly Membership Fee, Project Leads and Additional Campaign Fees set
forth in the attached Membership Form are subject to change. All Agreements will be honored at the contract price.
However, any renewals will automatically be at the new rates (if applicable). USHorse.biz
will notify the Company of any applicable rate change at least thirty (30) days
prior to the renewal date.
2.3 Nonpayment: In the event of non-payment, USHorse.biz reserves the right to
suspend or terminate the Company's account until such charges are paid. If
non-payment is not cured within thirty (30) days of notice of non-payment,
USHorse.biz may terminate this Agreement for material breach. In the event of
termination for non-payment, the Company agrees to immediately pay USHorse.biz
liquidated damages consisting of any unpaid balances plus an amount calculated
by multiplying the fees due under the most recent billing statements with the
number of remaining billing cycles under the Term of the Agreement. The Company
agrees to pay all collection and/or court costs incurred by USHorse.biz in its
effort to collect any unpaid balance due to USHorse.biz if we must refer
Company's account to collection or to an attorney, subject to the laws
governing these transactions.
3. Service Term
The term of this Agreement is one year from the date of activation of the
Company's account. The contract will automatically renew for additional
one-year terms, unless either party provides written notice of intent not to
renew at least thirty (30) days before the Term expires. Either party may
terminate this Agreement at any time, for any reason, by giving thirty (30)
days prior written notice.
4. Representations and Warranties
The Company represents and warrants that, (1) all of the information provided
to USHorse.biz is truthful and not misleading, fraudulent, defamatory,
libelous, threatening, harassing, or obscene; (2) the Company is authorized to
provide the services set forth in the Membership Form; (3) the Company has the
right to use each copyright, trademark, trade name, service mark, graphic,
photograph, or any other intellectual property in the way it is used under this
Agreement; (4) any advertising copy and any linked advertising comply with all
applicable laws and regulations.
5. Indemnification
The Company agrees to pay any damages or expenses incurred by USHorse.biz,
including all attorneys' fees and expenses, resulting from claims brought by
the other parties regarding the inclusion of the Entry, or as a result of a
breach of these Terms and Conditions. This provision shall survive the Term of
this Agreement.
The Company and USHorse.biz are independent contractors, and no agency,
partnership, joint venture, employee-employer or franchiser-franchisee
relationship is intended or created by this Agreement. These Terms and
Conditions shall be governed by and interpreted according to the laws of the
State of Nevada. These Terms and Conditions and the Membership Form describe
the entire Agreement between USHorse.biz and the Company and supersede any
other verbal or written agreements regarding the subject matter of this
Agreement. This Agreement shall survive any change in ownership on the part of
the Company.
6. Disclaimers
6.1 Warranties: USHorse.biz makes no express or implied warranties,
representations, or endorsements whatsoever (including, without limitation,
warranties of title or non-infringement or the implied warranties of
merchantability or fitness for a particular purpose) with respect to any
information or services provided through any communications, including but not
limited to, the Web Site, email, phone or fax.
6.2 USHorse.biz is a Conduit: USHorse.biz is not involved in any actual
transactions between buyer and suppliers through this Request for Quote
program. As a result, USHorse.biz has no control over the ability of buyers to
purchase services or qualify for financing or any other form of credit.
USHorse.biz cannot and does not control whether or not buyers will complete the
process of hiring a provider for the services they have requested proposals or
quotes. USHorse.biz cannot and does not guarantee that each buyer or supplier
is whom they claim to be. Buyers and supplier will be able to communicate
directly with each other before any transaction is complete. In the event a
supplier has a dispute with one or more buyers, the supplier releases
USHorse.biz and its agents and employees from claims, demands, and damages
arising out of or in any way connected with that dispute.
7. LIMITATIONS OF LIABILITY
IN NO EVENT WILL USHORSE.BIZ OR ITS AGENTS BE LIABLE FOR ANY DAMAGES CAUSED BY
ANY ONLINE SERVICE, QUOTE PROVIDED BY COMPANY TO A BUYER, TRANSMISSION,
COMMUNICATIONS OR COMPUTER SYSTEM FAILURE. IN NO EVENT WILL USHORSE.BIZ OR ITS
AGENTS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES INCLUDING,
BUT NOT LIMITED TO, LOSS OF BUSINESS, REVENUES OR PROFITS OR THE COST OF OTHER
FORMS OF ADVERTISING.
